Default Replacing CPU & Mobo, are these good deals?

I found some interesting deals at Fry's (outpost)...
Anybody want to make a recommendation (or post another good find)

Intel® P4 3.2GHz E (800FSB) Bare CPU With Motherboard $209

Intel® P4 3GHz E (800FSB) Box CPU With Motherboard $179

AMD Athlon 64 3200+ Retail Boxed Processor with Motherboard $199

The AMD is nice because it has a 3 year warranty...I'm not sure what Mobo is coming with these but the chipsets seem fine. I'm currently having a problem with my Socket A mobo & Athlon XP 1.67 ghz and wondering if I might as well put down a few more dollars and upgrade now. Please post thoughts

How far do you want to upgrade? WHat do you do with this stuff? Anyways those motherboards are junk, way outdated.
