Ya if you get it to three then it wont be so bad.
You could have got a 3850 256 and it would have been pretty much the same performance.

not with a stock 4400 hsf. i can get mine up to 2.6 with no voltage changes and it runs under 20C so i think i can get mine up to 3+ if i do it right so you should be able to get yours to around 2.6~2.7 with a stock hsf.
also what did you get for the gfx scores? i wanna pair them up with my 3850 scores.
and it is a difference in 3dmark, its not like a x1600pro vs 8800 Ultra but its like 5-9 fps on some of the tests.

5-9 fps can be that difference weather or not you can play crysis on high or not

No Vmod, don't dare to try that. Just using Rivatuner and OC the quad to 3.7GHz.
