Currently, my system stands as thus:

nForce2-IGP Motherboard
AMD Athlon XP 2600+
Geforce FX 5900 XT
512 ram.... blah blah... and on....

So, my question is: do I need to change my motherboard if I'm going to upgrade to a an Athlon 64 3400? I'm sure no one knows the specific answer, but could someone direct me to the specifications that would be important to look at in order to determine this?
Any help would be appreciated!! Thanks.

Yes, a socket A (Athlon XP) is not compatable with an Athlon 64 processor. You will either need to get a socket 754 or preferrable socket 939. However, 754 is cheaper.

Thank you very much. Also, does anyone know of places online or elsewhere that will take old parts in exchange for money and/or credit towards newer parts?

Your best bet would probly be to part it out on E-bay. Although you will probly be stuck with the case unless it is a good one, in which case you will probly want to keep it anyway. I would say to keep the Video card and the ram (if it is one stick of pc 3200). that would save you a little cash.
