I would go with the Pentium 4 2.8E 800MHz you were talking about rather than a Xeon. That looks like a good motherboard, I would have gone with an ASUS, though, like this one:

Also, I guess Prescott CPUs run pretty hot, so you'd want to make sure you got a good fan and heatsink.

This CPU/Motherboard combo is compatible.

Ugh... the last computer I built (the one I'm on now... Gigabyte G7VRX with Athlon XP 1800+) didn't work. I did everything right but it didn't work. I was so choked. Turned out one of the memory stix was bad. Shop replaced it without a hassle though so yah I'm all good
