I would go with the Pentium 4 2.8E 800MHz you were talking about rather than a Xeon. That looks like a good motherboard, I would have gone with an ASUS, though, like this one:

Also, I guess Prescott CPUs run pretty hot, so you'd want to make sure you got a good fan and heatsink.
