*URGENT* simple DFI mobo dilemma

I bought the GIGABYTE GA-M55SLI-S4 Socket AM2 motherboard just a couple of days ago but I've been reading up on it and seems like it's cant overclock worth c**p.

So, I'm planning on returning it and buying the DFI INFINITY NF ULTRAII-M2 Socket AM2 mobo:

1) Is the GIGABYTE's BIOS that limited? I'm planning on OC'ing my X2 3800+ from 2.0 to 2.4/2.5 and I've heard that this mobo is just unstable and doesnt have option to increase HT, which apparently causes instablity.

2) I have 2GB Patriot Memory 667MHz:

First of all, this is compatible with the new mobo right? Can this be overclocked, cuz I'm overclocking my CPU?

3)Think I should go for the change? Is the DFI any good? Will I be asked to pay the restocking fee at newegg?

Wow, this is UrGEnT, I need to decide in the next three or four hours. Thanks mucho for your contribution guys. And need many replies.
 
The DFI Infinity will be better. The DFI Lanparty series is the one loaded with overclocking features.

The memory can also hold you back. You may need to run a divider since that memory isn't that fast. You could get DDR2-800 @ 4-4-4-12 anf be able to run them at DDR2-1066 @ 5-5-5-12 @ the stock voltage.
