Im wondering, i plan on building my new comp in a few months, and im wondering if the Opteron 165+Zalman CNPS9500 will reach 2.6Ghz stable.

I would think so. That's a top of the line HSF and many people have reported an air cooled 2.6ghz with the Opteron 165. I hope I can receive those results with the Zalman 7000 I'm getting.

You can never guaruntee what kind of overclock you'll get, but the odds are in your favor. Some guys here try to overclock Athlon 64's and the thing won't allow for more than a 150mhz overclock.

Well i dont know whether to test my luck with the opteron or just buy an X2 4200+ and just not oc.

Don't get an X2 4200, it's pointless. If your getting an X2 get either a 3800 or a 4400. The only difference between the 3800 and the 4200 is 200MHz. Which you can easily make up for in an overclock. 4400 however has a 1MB cache on each core vs the 4200 and 3800 with only 512K per core. Also I'm pretty sure that you'll be able to get that Opteron up to 2.6GHz.
