Khooker.exe isn't anything to be too concerned with, it's only the SiS keyboard daemon. Basically it's a system tray utility which gets installed by the drivers of the latter day SiS VGA cards, or onboard chipsets.
With Win 9x - Me it has been known to cause minor issues during startup procedures, but so infrequent that its not much of a bother. If you wish to remove it, do so; it's not mandatory for your onboard chipsets to function properly.
