Trouble Installing Windows XP Pro

So I just built this machine:

Antec Aria case/power supply
MSI 865GM2-LS MicroATX mobo
Pentium 4 3.0 GHz Prescott w/ HT
(512 x 2) mushkin DDR400 XP3200
ATi Radeon 9800 Pro
40GB seagate hd
SONY DRU720A dvd drive

and when I try to install Windows XP Pro, it will say that certain files could not be copied correctly, such as hid.dll and a dozen others.

After giving up on that, I tried to install an old version of Linux I had lying around - Mandrake 9.2, but as soon as it gets started, it gets a "kernel panic - could not mount fs on 3.01" or something like that.

What's the problem??

It worked before when I was using a 2.0 GHz Northwood and mushkin redline DDR 400 (which required more voltage than the mobo could supply so I upgraded). Could the problem be the processor?? I have a Zalman 7000B installed on it and it idles at 40 degrees C. I can't return the processor anymore ..
