NotifyAlert.exe POP-UP when I log into xp

First off, I really didn't know where to put this question.

Everytime I log on to xp I get this message:

NotifyAlert.exe - Common Language Runtime Debugging Services

application has generated an exception that could not be handled.

process id=0x21c(540), Thread id=0x208(520).

click OK to terminate the application.
click CANCEL to debug the application.
----------------------------------------------------------------------

if I click OK, it goes away. if I click CANCEL, it reports that there is no debugger found.

Has anybody had this happen to them before?
How can I fix this?
