Get the 2nd processor, the 3200+. As for the vid card, i listed the eVGA model, u listed the XFX model. I would recommend eVGA over XFX. eVGA has better quality, better tech support, and a step up program that allows u to swap an older card out for a newer one, only paying the difference. XFX cards are great OCers, but u said u dont intend to OC< and they are often DOA.
