Well, you are comparing a 3500 and a 3800, which is kinda unequal to start. The 3800 is retail, and you want oem if you are gonna OC. OEM would be better because you dont waste money on a HSF that you arent gonna use.

The 3500 is gonna be better for OCing due to the Winchester core. The core uses 1.4V, which can be raised easily when OCing.
 
Depends on your cooling I think. But if you factor in the price I think the Winchester is the better choice. If you don't want to think about price at all then you might get more out of the 3800+ simply because it is a 3800+ compared to a 3500+.
