Will this work?

I want to switch out the motherboard and chip from my HP a1250n for something newer without breaking the bank.
I was looking at using this:

AMD FX-4100 Zambezi 3.6GHz (3.8GHz Turbo) Socket AM3+ 95W Quad-Core Desktop Processor

ASUS M5A97 LE R2.0 AM3+ AMD 970 SATA 6Gb/s USB 3.0 ATX AMD Motherboard

G.SKILL 4GB (2 x 2GB) 240-Pin DDR3 SDRAM DDR3 1600 (PC3 12800) Dual Channel Kit Desktop Memory Model F3-12800CL9D-4GBNQ

I'm open to suggestions and comments. Any help is appreciated!

I have a 480 watt PSU now (and an eVGA 7800gt).
I need to buy a new OS as well. Will it overwrite XP automatically? or do I have to wipe the hard drive first?
 
When you boot to the Windows disc one of the screens will allow you to delete the partitions and create a new one which will make a hidden system partition for Windows. You will need to back your info up before doing this.

Is it the stock HP, or one you put in?

BTW, I recommend Windows 7 64bit over 8.
 
I replaced the stock PSU with an Antec 2.0 when I added the GPU. Its all old but it still works, for now.
