Whole new PC for games, please help me choose it

neither are factors, even if you use the STOCK heatsink that comes with the i5, you can probably get all the way up to 3.8-3.9ghz, throw a $30 cooler on there and you can ramp that up to 4.3-4.5ghz, throw a higher performance CPU cooler on there and 4.5+ghz becomes an option. overclocking will not cut down the life span of your processor, just get a proper cooler...
 
the coolermaster hyper 212+ is the cooler i am going to be using in my new rig with a i5 2500k, its an awesome cooler that screams bang for the buck that should be good for around 4.4-4.5ghz.

Yes, it will fit in your case but the Corsair Vengeance memory with the tall heatspreader won't work. But Corsair has just released a new low-profile version of the Vengeance memory that will work.

Pulled off another forum:
A friend of mine has the Asus P8P67 Pro Mobo, 16GB Corsair Vengeance memory and a Coolermaster Hyper 212+ and he did say it was not so much the heatsink itself that needs clearance but more about the fan. He said to move the fan up about 3mm from the standard mounting position and you'll be fine.
