My system now is:

MB: ASRock G31M-GS, 775 (Can use DDR2 RAM)
CPU : Intel Pentium Dual-Core E5400 2,7GHz, 775
RAM: 3Gb DDR2 800mhz RAM
HDD: only know its 500Gb
GPU:Club 3D nvidia Geforce 220 GT 1Gb, DDR2
PSU: 420W

Now my question is, If i buy a new motherboard (775) ((NAME : Asus P5P43TD, 775)) that supports DDR3 RAM
And i buy DDR3 1333 mhz RAM (((RAM) Crucial DDR3 1 GB 1333 MHz)), Will i be able to fit all the other things on it ? And how much will it improve my games *?

And another question, If i buy the MB Mentioned above (( Asus P5P43TD, 775 ))
And i buy the ram mentioned above ((RAM) Crucial DDR3 1 GB 1333 MHz)) but i buy 4gb.
And i buy ((Gigabyte Radeon HD 5770 SOC, 1 GB, PCI-E))
And i buy ((Intel Core2 Quad Q8400 2,66 GHz, 775)) and overclock it to 3Ghz

What PSU will i have to buy to support all that ? How strong it has to be... how much
WATS -- ?

There are wattage required calculators out there- sorry don't have a link for you. But, if you search either on this site or goggle for one they are easy to find. Then I would guess the next question will be what monitor are you using, what resolution do you want to play games on, hardcore gaming or WOW type stuff? As far as "fitting" all the other things in it we need to know what type of case are you using? I assume you will be using Win7 Os? The Q8400 CPU is getting older and most people upgrading are using Phenom II or Intel i5 or i7. So, are you using the Q8400 due to budgetary restrictions?

I am alredy playing games on 1650x1050 resolution but with all on low. Games like Cod mw2 runs great, but some games like GTA IV dont run even at lowest resolution with all on low..

i will be using 2x OS (XP) and (Win 7)

Yes i am going for q8400 due to budgetary restrictions.

The case ist the problem its really big, but the thing i wanted to know is will the MB accept those things from old setup.. exept ram offcourse..?

And 1 more thing i noticed the Graphic card is PCI-E 2.1 so will the MB accept it cuse MB is PCI-E x16 2.0 ?

Let us help you get more for the same or less. While the Q8400 is a good CPU, it is long in the tooth and rather outdated... especially for the price and its speed compared to the new chips.

Check this combo. The same money you would pay for the Q8400 and mobo, but much, much more faster and more powerful.
1. ASUS M4A87TD/USB3 AM3 AMD 870 SATA 6Gb/s USB 3.0 AMD Motherboard
2. AMD Phenom II X4 965 Black Edition Deneb 3.4GHz Socket AM3 125W Quad-Core Processor HDZ965FBGMBOX

Combo Price: $242.98

This RAM is faster (1600 > 1333) for the same money.
Newegg.com - A-DATA Gaming Series 4GB (2 x 2GB) 240-Pin DDR3 SDRAM DDR3 1600 (PC3 12800) Desktop Memory Model AX3U1600GB2G9-2G
$87.99

Same model card, but a better brand with a lifetime warranty for the same money.
Newegg.com - XFX HD-577A-ZNFC Radeon HD 5770 (Juniper XT) 1GB 128-bit GDDR5 PCI Express 2.0 x16 HDCP Ready CrossFireX Support Video Card
$149.99

The 5770 requires a 450W PSU. The PSU brand you use is very important, as when a PSU blows it tends to take your components with it. This one will power your rig and serve you well. The price point on it is also rather attractive for the wattage, plus it has three 12V rails @ 22, 22, and 23.
Newegg.com - Antec BP550 Plus 550W Continuous Power ATX12V V2.2 Modular Active PFC Power Supply
$49.99
