I would keep your current rig and upgrade the GPU. That CPU doesn't bottleneck any card at the moment and 4GB is more than enough to play any game. You can upgrade the hdd if you think you need more space.

I think you can call microsoft up and they'll give you a new activation key.

Yeah, the one listed is perfect, but how come you want to upgrade if you are fine with your current gpu? This is the only component that you can upgrade that will affect your performance in games. Your other components are all more than sufficient for everything that's out there.
