Need CPUID Flash 64b compatible for GB MA790GP-DS4H w PII 940

I went to Gigabyte's site and DL'd the CPUID BIOS for my board, which I was told I needed to use my PII 940 on this board...

I got the BIOS update, but it's not 64b compatible. Can I just run a 32b partition on my HDD and install the driver that way? or will it not jive when I run my XP64b OS??

NVM... I got it..

I used the @BIOS feature that came w the MoBo to install the new bios.. It's reading correctly now.. And *Fingers crossed* it's running good..
