New Gaming PC

I wouldn't get a Phenom 2. The most recent benchmarks for then aren't very impressive at all. Any Q9xxx series Intel quad would be a better option and possibly cheaper.

I don't want to sound redundant here but I don't see why you would want to invest in a new unproven and more expensive technology that offers no performance gain over a proven one. We know how to overclock Yorkfield's. Phenom 2 will have its own quirks and it will take time to figure them out. And we are pretty confident that Phenom 2 wont out overclock existing 45nm Intel chips.

Before i buy. I currently have a dell 5150 3g cpu(not core 2 duo) and 3g ram but gpu is s**t also (x800 i think). can i do anything with it to compete with a good gaming pc.

I didn't think you could dedicate a card for physx. How do you do this? Does it involve an sli bridge? And when did this come about? Wikipedia doesn't say anything about this.
