Thinking about a budget rebuild

So I am thinking about making the switch over to a C2D rig and am just looking on recommendations for making the move on a tight budget. Obviously I need a new mobo and CPU, but I would also like to pick up a new video card. I am trying to keep my costs in the sub $60 range if possible. I have been toying with a few options over newegg, but like to ask for some outside thoughts to consider before I make a final purchase.

RAM: crucial Ballistix DDR2 800
Motherboard: Gigabyte P35-DS3R

VGA: EVGA 8800GTS 320MB
HDD: Western Digital 250GB

Don't need RAM, don't need a case, have a 550 PSU already, Don't need a HDD.

While i would LOVE an 8800 series card, wouldn't I be better off getting a better processor and picking up a high end 7000 or x1k series card?

Then everything except the RAM, case, PSU, and HDD. Well, the P35-DS3R is able to run DDR2 667 from what I've heard.

Get E6550 instead of E6320

Maybe bottleneck, but he doesn't want to upgrade his RAM since he already has a set.
