BSOD problem

kinda of been awhile but..still having this problem.
heres the update..

changed my motherboard to; ASUS A8V-XE

new BSOD;
tcpip.sys
0x000000D1 (0x00000003, 0x00000002, 0x00000001, 0xadfdb5fb)

also...
0x0000008E (0xC0000005, 0x8060C78F, 0xAAC1E958, 0x00000000)

the 0x0000008E happens more often than the other one.
i've included the most recent dump files..please take a look and let me know what you think..

also..it'll restart sometimes without and BSOD.

..as u can see..it happens quite often...sometimes even before windows finishes loading..

**included new attachment with this last BSOD..

disable the nic card in the bios

before disabling it..got this..
0x0000007B (0xBACC3524, 0xC0000034, 0x00000000, 0x00000000)

then disabled it..then got this..
0x0000007E (0xC0000005, 0xBA78DDCE, 0xBACC2E24, 0xBACC2B20)
ACPI.sys - Address BA78DDCE base at BA779000, DateStamp 41107d27

then re-enabled onboard LAN..then got this again..
0x0000007B (0xBACC3524, 0xC0000034, 0x00000000, 0x00000000)

so...any ideas? lol :freak:

ps - fyi, these all happened about at the windows loading screen..
..dont know if that matters at all..
 
did you have any problem loading files during the xp install? I would delete the hdd with powermax, then try again. it could possibly be a bootsector virus.
