virtual memory loss problem

When XP loads I get a "virtual memory loss" error without ever arriving to the desktop. I click on my "user" icon for my personal settings - the desktop tries to load, but then I get the error. Windows then tries to correct the error by itself (15 -20seconds), but I get a "this computer does not have a license" error. Basically, I can't even get to my desktop to go to My computer or anything. What do I do next? Ram problem? Heating? Not sure what to do. Please help

try booting in safe mode and messing with the settings for virtual memory
