Motherboard died, need to upgrade

After reinstalling Windows media player, I had to restart the system. However the thing wouldn't boot afterwards. I tried a few times, and it still didn't boot. Even after resetting the BIOS, and reseating everything.

I am 99% sure it is the motherboard, because it has been a little buggy ever since I overclocked my Sempron to 2240MHZ (280HTT)
and the board only cost AU$45 when I got it.

So now I am without my own working system. What I need is a new motherboard and CPU.

I have about AU$450, and the following (working) parts:

2x512MB OCZ Premier (DDR1)

Asus K8V-MX (socket 754, AGP)

7950 GT (PCI-E)

Cooler Master 450W PSU (has worked fine so far)

SB X-Fi Xtrememusic

Chimei 22" LCD

So how should I go about doing this?

I was thinking about getting a socket 939 motherboard and CPU, so I can keep my DDR1 (I want at least a 4200+)

However socket 939 CPU's are kinda hard to get nowadays
 
on OCAU, I am being offered an Opteron 165 and DFI NF4 Ultra-D

stepping is CCBWE 0551VPMW

He says it gets 2.6GHZ on stock volts.

If that's the case, do you think it will hit 3GHZ at 1.6-1.65V? (with a divider)

What do you think it's worth paying for? (in $AU)
